The history of AGILE Ex Eutelia and of OMEGA Group


LThe history of Agile was born in June 2006 when the business segment of the totality of the Italian subsidiary of Getronics is acquired by the company for 1 € from the "vehicle" company Eunics with a capital of 7 million and owned by Eutelia at 35% and from Finanziaria Italiana at 65%. Consequently Eunics is not included in the consolidated budget of Eutelia, but on 13Th July Eutelia defines with Finanziaria Italiana S.p.a an option contract, in favour of Eutelia itself for the purchase of all shares of Eunics SpA, to be exercised in 2008.
Eunics brings an endowment of 47 million cash, which in practice is the TFR of the employees.
The managing director of Eunics is Samuele Landi and other members of the board of directors are his uncle Angiolo and his brothers Raimondo and Isacco; these are also personally and primarily through other companies (including Finanziaria Italiana) the reference’s shareholders and managers of Eutelia . On 21/12/2006 Eunics buys Bull Italy, and among the various assets there is the area of the headquarters of Pregnana Milanese, of another one in the province of Avellino and also about 7 million € available for incentives as way out from work, which the company will not grant.
Why does a telephone company particularly active in premium numbers at value-added and involved in several occasions in the phenomenon of diallers, grown particularly because of the external lines, with the acquisition of Edisontel and Noicom, with a clientele mainly in the medium low range of market, decide to buy two IT companies operating mainly on large customers in the markets of Finance, PA, Telco, Services, Industry?

Soon it becomes clear that the interest of Samuele Landi is not for an evaluation offered by IT and for the customers’ market, but is intended mainly to the internal reorganization with a leading costs’ reduction. The password is “insourcing” and do everything inside the conpany , even at the cost of performance and efficiency. For example, it has been dismantled Sap and substituted with the management application of Eutelia, enough for a phone bill and simple activities, but unsuitable for a company that provides services and develops projects and applications. Training has been drastically reduced too.
Meanwhile, the cash and assets begin to take other roads. A few weeks after the purchase of Bull, we are on February 2007 thereabouts, the seat of Pregnana Milanese, with a value for its proximity to the Fair (and now also for the future Expo) is sold by Eunics (whose directors are Samuele Landi and other family members) to the Finanziaria Italiana (Landi family) at a price agreed between the companies. One might suspect that Eunics has not benefited by it.
In June 2007 Eutelia acquires from Finanziaria Italiana 65% of Eunics for 14 million euros, Eunics having been valued 21.6 million. The decision taken by the board of directors of Eutelia was supported by an opinion of fairness produced by KPMG. "Eunics reached in the first three months consolidated revenues worth of more than 51,9 million euros and a net profit of around 2.7 ml. On 31Th March 2007 Eunics presented a cash flow for 30 million euros.
The family Landi therefore put in its pockets the real estate of Pregnana Milanese and it sells to Eutelia its share in Eunics with a significant profits. Eutelia empties of its value at the expense of employees and of the market for the minor shareholders in favour of Landi, with little clear and transparent operations.

From the "brilliant performance" of the early months of 2007 how it will come then in the course of one year and a half to destroy everything? Let's see.
In August 2006 the Board of directors of Eutelia has approved the merger that provides for the incorporation of Eunics in Eutelia. In Eutelia enters the cash of Eunics.
From that moment begins the decline of Ex Eunics who had become IT division of Eutelia.
In May 2007 Eutelia had meanwhile acquired by the group Tele 2 at a price of 8.9 million C3 and Alpha Telecom, operating at European level in the market for prepaid telephone cards.
In April 2007 Eutelia signs a loan agreement for 30 ml with Centrobanca.
The internal reorganization managed by the "captain", proceeds without a proper business plan, but on its own "insight", with zero results. There is only a flat management without innovation and revitalization of the existing services in line with evolving market. The vision that Samuele Landi has about the company has remained that of Plug It (as it was originally called Eutelia, when it was a small telephone operator). Eunics workers, highly qualified, are all employees and all is managed through procedures typical of a job with simple tasks and in short-term (eg. the intervention of a technician to install a telephone line). There is not, or maybe you do not want to have a culture of an information technology company. Under the pretext of the procedures a climate of pressure has deliberately created with the aim of pushing employees to look for another job, leaving the company and thereby reduce staff, in the same way as it had happened in Edisontel and Noicom.
But Samuele Landi goes further. A climate of terror is reached.. Between November 2006 and Spring 2007 are laid off some employees in Naples, Rome and Pregnana Milanese with the grounds that they had pursued illegal activities, causing serious economic damage to the company. The courts , to which the workers have then turned have sentenced the groundlessness and the falsity of the accusations which were made. The protests of workers begin. The Landi family continue with acts of intimidation, particularly towards the trade unions delegations. Several representatives of the RSU transferred to Arezzo, the company proceeds with the dismissal of two delegates, who in a few weeks, the labour court annuls, reinstating the delegates in the company.

The unions are also questioning in particular way the lack of a real business plan and prospects for the company. The suit comes until November at the Presidency of the Council of Ministers.

In September, have gained through the lease of a business division, the assets of Enterprise Digital Architects, a company which had failed. However on 12th November the new bankruptcy trustee withdraws the lease contract.
In the course of 2007 Eutelia announced on numerous occasions to consider strategic the acquisition of WiMax licenses. In December Eutelia instead invests 28 million for the acquisition of a licensed mobile in Poland and the start of Mobyland operator.
It continues to disperse ex Eunics worker’s TFR.

The year 2008 begins with numerous changes of direction. Eutelia will not participate in the competition of WiMax.
The board of directors changed and Felice Marano is the new managing director who describes himself as the fourth brother.
Meanwhile, the counts began to make water: errors of industrial strategy and budgets that are not true, how then will verify and with improper delay Consob , that only in November 2008 will contest the budget of 2007t. The new audit firm will not certify the budget of the first half of 2008. In spring, a few months after the optimism of the owners and their expansion primarily to foreign countries (by chance?) the crisis broke out which had been denied until a few weeks earlier. Layoffs was requested followed by a union agreement for solidarity contracts. Not wanting to tell the truth, the difficulties were blamed on the termination of contract EDA. The situation becomes increasingly serious. The company is now without a guide with strong differences within the family Landi. Marano resigned and resumed the reins Angiolo and Samuele. Counselors who Cerchiai, Monti and Bennati resign.
We are now in the storm. In May, some Landi and some other managers are being investigated by the prosecutor’s office of Arezzo for financial crimes and criminal conspiracy. The debts are rising, the creditor banks are worried and in particular the MPS group, key members of which, Pisaneschi and Pizzichi, come in late 2008 in the board of directors and in the board of auditors...
It is made an agreement for the transfer of Mobyland at 34 million, but the selling fails in December. It will then be sold end on 13Th July, 2009 for 13 million with a loss of 16 million.
Eutelia is now in the hands of banks that have to returns from their credits. You must reduce losses and mobilize all possible.
In January 2009 it was decided to dismantle the IT sector (2,200 employees), without any expression of interest from buyers. The ordeal without prospects starts and wth customers who can no longer recognize the company Eutelia reliable.
In April, the prosecutor’s office in Arezzo communicates the notice of closure of the investigation.
The auditors did not approve the 2008 budget.
On 30Th April MPS through Leonardo Pizzichi, appointed president of Eutelia, formally takes the reins of Eutelia, although in practice it might not be a part of the last choices.

The final balance of these three years for former Ex Eunics employees is a managerial Eunics bankruptcy, the loss of many important customers, even though there is still a significant backlog, the dispersion of their TFR and of major assets going swell the pockets of the Landi’s family or to pay absurd and disastrous operations such as the creation of Mobyland or the acquisition of C3 and Alphacom.
Who will return to the workers what was taken away from them?

On 13Th of May Eutelia communicates that it wants all the IT activities, pending divestiture, into the company Agile Srl located in Potenza with social capital of 96,000 euros and 100% owned by Eutelia. Agile originally operating in the call center services for the ASL and has over one hundred employees.
Unions announce day of action and request that it is opened a crisis desk in the Ministry of Economic Development (MISE).
On 15th June the MISE convenes a meeting, which most likely would have addressed the issue of the use of social safety nets. Eutelia fails to be present and informs the ministry in the afternoon, after the closing of the Stock Exchange that an important statement would be issued. Eutelia had made the transfer of IT branch of Agile, which then is to have 2160 employees and the company had sold Agile to Omega company for € 96,000.
Omega, founded by Pio Piccini and principal shareholder is a holding company that owns several companies operating almost exclusively within the call centers. There are currently no information about Omega, because a few weeks the website is "obscured" by presenting only the home page with the words "under construction”. From the information previously included among other things it appeared that some companies are participated by client companies, such as the Italian Confederation of Farmers and SDA. Among the main customers TinIt of Telecom Italy. Omega also has a small IT company that has developed a document management system for Public Administration.
In Omega holding are allocated administration activities, treasury, purchasing, and personnel for all companies in the group. We have no news on the economic situation, it only results that there were problems in 2008 for the subsidiary Gemini.

The first question is: if the original assets of Agile were similar to those of Omega, today that the business is predominantly IT, it is pointless to Agile with Omega?
A few days after appearing in Agile managers Omega. Pio Piccini is in a sheltered place and instead who presents as the responsible is Sebastiano Liori but did not specify which office.
S. Liori announces that the same Omega was previously bought by the British company Anglo American, to which will subsequently come up to Restform LMTD, both English with an address in London. Someone calls them "funds", but then it will be discovered that they are only empty boxes. Then you'll discover that among the British companies and Omega, is the company Libeccio.

Sebastiano Liori few months before had appeared on the scene of another company in big financial difficulties: Omnia Network (O.N.). O.N., listed in the Milan Stock Exchange quotations, was suspended by the quotes, because the audit company had not certified the financial statements for more times. The company had an immediate need for new resources through a capital increase. In March,S. Liori, the representative in Italy of the Austrian society Ticam organizes a financial transaction by which the block of shares, 29%, owned by another company and other minor shareholders from Tranchida are given up to Ticam. It seems there was not compensation. Ticam pledged to underwrite a capital increase (ADC) to the proportion of its shares for an amount of 12 million, payable within seven days of deliberation by the Board.
Then it seems that the actions would in any case come back to Tranchida even if Ticam had not signed the ADC.
The board of Directors of O.N. was renewed. Tranchida and other administrators came out and entered between the new Claudio Sebastian Liori Gianettoni entered.. On 15Th June the Board of directors approved the capital increase, but on the 22 Ticam does not pay the 12 mln. The motivation seems to have been that, for a more detailed analysis of the following accounts in March, the financial position of ON was much worse than it was suggested in the beginning. The 12 million of Ticam would not be enough to restore the title of ON to stock exchange market and therefore there would not be a return on investment by Ticam, with the risk of losing everything.
The Board of O.N. calls for payment several times without any result and by the end of July obtains from the court in Milan the injunction decree towards Ticam. Sebastiano Liori was unable to continue the operation and at the beginning of August he resigned. Gianettoni follows him a few weeks later.
The months of management Liori also do not bring any new business plan, do not leave any sign, except that the immobility causes further deterioration. Was not produced any renewal of the company, neither defined management policies. The most significant intentions were expressed in mid-July (period in which his position started to be flaky) at the meeting by MISE, where S. Liori says O.N. make a company network with Agile and Omega group. Intentions have not materialized.

But back to Agile. So we are in mid-June, when S. Liori everything seems to go on very well. Liori then comes in Agile. He claims that he wants to return to a normal situation, only to launch again the company, and have the economic resources needed.
He immediately meets the unions to re-establish normal relations after that with Eutelia were heavily damaged, and he says available at a meeting at MISE in a short time. The unions announce on June 18, said: "The representatives of the Omega Group SpA. ... have stated that they will present the business plan soon for the revival and development of IT activities and that the new reality will come into a network of larger companies, in order to increase its legacy today inherited. They also stated that currently does not intend to resort to social redundancy and that first thing, it is important for them to know the company very well, its problems and its criticalities. ... “we decided to conduct further meetings with the RSU directly on the territories". Agile had already renounced the past 15 trading days of solidarity.
Liori still talking about revival, good relationships with suppliers, to pay the previous outstanding accounts of workers.

On 9ThJuly at MISE the company presents itself without a business plan, which agrees to establish by 15Th September, he does not say what is the chain of control of the company, but says that the financial plan is basically done with large credit, that will be created a network of companies and is looking with interest to the decree Sacconi.
He says that there are no problems for the payment of salaries and of arrears and that there are problems in the area of taxation and contributions: statements that will prove false.
It does not emerge an industrial plan , there is no evidence to suggest that there are some guidelines. Everything is based on organizational aspects and on the possibility of using the benefits that the State will make at disposal for the revival of business.
It seems clear that Omega does not have any project on Agile, if not to manage the closing. On 15Th July the unions complain that a number of anomalies in the sale of branch IT Eutelia to Agile and intends to bring any legal action to protect workers.

It 'been a month from the acquisition, but the company is firm. To direct it, in addition to Sebastiano Liori, are his brother Antonangelo and Claudio Massa, sole director. Pio Piccini appear and then disappear in a few occasions. Who is very active in July is Antonangelo. Web searches lead to bad news. Antonangelo has undergone numerous convictions, including one for fraudulent bankruptcy. He seems to be the instigator of the acquisition of Agile and he is the reference for management. He also moves outwards, meeting with partners and suppliers.
Activism of Liori has its peak in the kick off of the commercial division, held from 17Th July to 19Th July in Sorrento. At that moment all the management above is confirmed and repeats the lines of supply and sale of the old Eutelia. Antonangelo seems to be the main character, says the company will be relaunched to be number one in Italy, that the economical resources are not lacking in initiatives aimed at developing the business. A great show, but in practice nothing. Only smoke to hide the true intentions, which will be those of dismantling the company.
Indeed in the company are obvious signs of deterioration. Salaries of June, one of Eutelia for the first two weeks and one of Agile for the other two, are not paid regularly. Agile delayed a few days, while Eutelia, after stresses and protests, regulates end of month. The expenses of the period Eutelia are not paid. Are not regularized payments with suppliers who have past due at least for four months Each week we talk about presenting hypothetical plans to return, but Claudio Massa, who became sole manager of Agile, crashes. Agile loses cash and accounting management of suppliers, which is centred in Omega.
It appears the substance of a transaction that has the sole purpose of removing from Eutelia 2,000 people, the future of which is now totally uncertain, and that in case of failure can not rely on the value of the company's property, as is on the contrary for Eutelia the important asset of 12,500 km of fiber optics and real estate. The unions dispute the assignment of branch IT of Eutelia in Agile, they promote an action of the employees towards Agile and Eutelia, to reserve the right to seek reinstatement in Eutelia. In early August start one thousand requests.
By 10Th August, the company pays a few salaries for July and Massa just wrote an email to employees who will not be paid the employees who have made a letter, because according to his logic is not correct to pay anyone who has asked to move to other company. Massa, the accountant, take the clothes of the provocateur, trying to split the workers, asked to withdraw the request. And then continue in this role. On return from holiday, the situation is more property. Omega does not provide liquidity, suppliers are still not paid and only a few and a few situations of extreme gravity, are managed. Payments from the government shall not come because Agile is not in compliance with the DURC (single document regular contributions) relating to payments and INPS Inail. Operational modalities of the sale of Agile to Omega showed deficiencies. Communication to customers on credit transfer to Agile are not clear and some customers continue to pay Eutelia, that then moved to Agile with difficulty and delay.
In September, the pressure rises for workers for the payment of salaries and expense claims. The strikes starts and demonstrations, arriving in strong mode. Company is “hiding from justice” does not give answers, avoids the confrontation with the unions. In Rome on 8Th September workers protect late at night where the seat of Omega where the new president Claudio Gianettoni is present, after 10Th September they oversee Agile offices in Rome with Isacco Landi of the Board of Eutelia, who leaves the place after some hours. In Pregnana Milanese on 16Th is occupied for an hour the train station closed to traffic on the trains.

S. Liori and Massa try to give an appearance of reorganization choosing new managers, some from inside and other coming from outside O.N., probably forced out. Managers who had organized the kick off in July are removed. Pio Piccini disappears. But the company is still and without a guide, the new manager does not have tools, lack of liquidity and probably in some cases there is no expertise to manage IT services firm. One of the most dramatic is the lack of DURC, necessary to the Public Administration to participate in competition announcements, to sign contracts of won announcement competitions, to collect payments of bills. Start cancellations by the PA, you lose contracts even of millions of euros for lack of DURC. Even private customers (Cedacri, Fiat) canceled the contracts because the company is proving totally unreliable, not paying wages, reimbursement of expenses to employees and suppliers, whose supplies are required for the service. Customers can not accept to put at risk of their activities, because Agile might not be able to deliver the service. The various successive top managers (S. Liori, Piccini, Gianettoni) meet with clients seeking to reassure them and promised to regularize the situation and the clearance of the evolution with new business plans. Promises and explanations that do not materialize..
On request of the union the meeting scheduled for September 22 is advanced to 17, but the company does not appear. Unions announce that day anyway for a national demonstration at the Ministry and the meeting takes place without the presence of the company. Minister Scajola issues a statement strongly critical of the leadership of Agile and appeals to seriously confront the trade unions and local institutions and central ones. ..
On the 22Th there is finally a new meeting at MISE, which will be attended by President Claudio Gianettoni and the new industrial relations manager of Omega Group. Claudio Massa in the last few weeks is no longer, but the day before the meeting sends a letter stating that the unions will close the headquarters of Naples and the workers will be transferred to the seat of Prata di Principato Ultra in the province of Avellino.
The meeting at the Ministry opens with a strong tension because of Massa communication, which is considered a provocation. The unions put the ruling of the withdrawal of the transfer. Gianettoni said that he knew anything and can not cancel the transfer, because it has not the power had not yet accepted the assignment. At the end endorses the cancellation. Ministry and the unions are asking who controls the company, who are the owners, why Agile was bought, who are the donors, who are the available funding. Gianettoni is silent.. The business plan has four general slides, totally lacking in content. The only information is that 1,300 employees have no work. For salaries, the company undertakes to pay by October 2 the month of July, and by the third week of October other entitlement arrears. On 7Th October is set for another meeting at the Ministry, which will then be sent back to the 23 .. days go on and the salaries are not paid in July. In the days after the workers of Pregnana have two meetings with Gianettoni and receive payment in July. Gianettoni promises about business plan, but that will be used in social safety nets. From that moment Gianettoni disappears and resign from office those responsible for the treasury and foreign relations,
While in Agile the crisis deepens, Omega continues to acquire new companies and announced consolidations between companies. Companies are bought in big trouble of the most diverse sectors: Phonemedia (call center), Visatur (tourism), So.ges.ter (transport) with no industrial logicas if there was a commission to bring to settlement companies in crisis and lay off workers. It turns out that S.. Liori and Massa have several assignments as liquidators of companies in bankruptcy. The MISE convenes meetings for Phonemedia, whose employees have also months behind in paying salaries. In a meeting at the Ministry Omega is committed to the payment of salaries to mid-October in three banks by November. But then begin to come out news of aggravation of the situation and future workforce reductions.

Fights and events continue. On 2Th October march in protest against Monte dei Paschi di Siena in Siena,, one of the banks most exposed to Eutelia and heavily involved in the management and sale of Agile to Omega. The leadership of the bank met a delegation of workers from 2 to 5 October.

Policy in recent years had followed the history of Eutelia with questions in Parliament from the parties of the center-left, in particular PD and IDV. In mid-October Mr. Di Pietro meets workers in Turin and is committed to raise this issue with Gianni Letta, who wrote asking for an urgent intervention.
Public institutions, particularly the regions where there are settlements Agile, who had repeatedly expressed solidarity with the workers Eutelia-Agile and were present at the meetings, urged the Government to face ss the issue urgently, with the exception of Region Lombardy pratically mute.
Workers from Agile expected October 23 for receiving the salary of August, but the company on 22Th opens the mobility procedure for 1193 employees on a staff of 1.937. Obviously the money did not arrive and the company announced that it will not encounter the MISE meeting. Scajola writes another letter to Omega, to which Massa answers provocative and somehow blackmailing.
The unions demand that redundancies have to be cancelled, that a table at the Presidency of the Council of Ministers is immediately activated and the payment of salaries is made.
Workers and unions agree to practice more drastic forms of struggle. On 28 October the seat of Rome, which is shared with Eutelia is silent and work activities blocked. It guarantees Eutelia can access their equipment for emergencies.
On 3 November the defence of Pregnana Milanese Turin and Ivrea, on 5Th Bar. More seats will follow. The white masks of Rome, the hooded of Pregnana Milanese leading on the media salience of the crisis Agile ex Eutelia. These first images happen people's faces that risk their jobs. Agile is present in the local media and begin to appear on national ones. Policy, the opposition one gradually increases its commitment. Di Pietro writes a letter to Gianni Letta, who met him and told him that the company has undertaken to pay the salaries by 6 October. Payments are not made. On 10Th at 5 am Samuele Landi with some employees of the security of Eutelia and more than ten security guards broke into headquarters in Rome, surrounded workers and ordered to leave. The workers called the police leading to the police station Samuele Landi and he makes the guards go out. . Are ignorant of the real reasons why the raid.
The incident comes Eutelia on the national media and parliamentary rooms. IDV and PD do a parliamentary question with immediate response by the Vice Minister Romani. Epifani believes the emergency Agile / Omega a top priority. There is now the common opinion that there should be an extraordinary administration. But the company refuses. On 19 large demonstration in Rome of the Omega group, including Phonemedia; participate in the parade Bersani and Di Pietro. The Council Presidency in the person of a representative of the undersecretary Gianni Letta receives a delegation, which reports that the company still has a position of immobility, does not require Marzano Law and that within a few days we hope to convene a table.

For workers who can no longer remain the current owner, who has the sole purpose of destroying Agile and fired. The extraordinary administration, only chance for survival of the company, is supported formally to the court with hundreds of requests for workers of state insolvency of Agile. The court in Rome scheduled for 23 December, the first hearing. By By November 26 the unions a demonstration of agility and Omega of the whole group in Rome at the same meeting at the Presidency of the Council of Ministers.
In the meeting, where it addresses all the issues of the Omega, including Phonemedia, the company still does not give specific addresses, lines of development and not to say the available funds. Letta then asks the company to pay salaries by 5th December and resume the meeting on 7th December. Also the day after the government in a statement appeals to customers to respect and retain the order and indicated that Letta had activated with the Court, Bankruptcy Section, to hasten the processing of requests submitted by the workers.
Di Pietro, Bersani and Tremonti agree that the special administration is the only solution. The workers are now demanding that you come quickly and that the political forces and institutions to contribute actively and strongly to this result.

On 2 December, the Milan prosecutor's office opened an investigation into Eutelia. For the moment the file has not investigated or assumptions of crime, but it is likely that crimes are assumed to be of corporate and stock’s kind.

The company, as it happened before, does not respect the commitment made in the government to pay salaries. Letta moves to December 9 the meeting scheduled for 7. The company, however, doesn't take part in and send a letter to the Government, reporting the resignation of board members. 

The Secretary Letta reaffirms the commitment of Government in order that the public administration confirms its commitments with the group and issue an invitation in order that private companies do the same. The Government, at the invitation of the union, will address a similar appeal to local authorities and credit system to take all the initiatives aimed at alleviating the hard conditions of workers. 

The company at mid-month reappears and pays the salaries of August and September to several hundred employees, who "have worked". A provocative action with the only purpose of creating confusion and division among the workers. Now the decisive moment is the hearing of the Court of Rome of 23, during which a national demonstration of workers will be hold in Rome . 

The struggle spreads progressively to other companies of Omega group, whose situation is similar to Agile's one. They patrolled the headquarters of Answers in Pistoia and Phonemedia in Novara. 

In these fifty days the struggle of Agile's workers has involved people in the territory, institutions, governments, cultured people. Many important meetings took place in the headquarters, such as the wonderful evening Dario Fo held in Pregnana . The presence of all those who have approached us was not easy solidarity, but gave more strength to go on with the fight. 

On 23 the court of Rome decided to seize Agile and to appoint it to three "keepers". A further hearing for special administration has been also settled down for February 17 . It's the first success of the workers' struggle. The company was closed by the hands of Lior and Massa. On 24 the keepers went to the Rome headquarters of Agile, where they called for Massa for the handover and began to examine the documentation. On 28 they arrived at Pregnana Milanese and called the whole front line managers with the initial goal of collecting data accounting, administrative and cash, needed to define a plan of action and revive the company.
